Together referred to as “the Parties.”
1. Scope of Services
The Service Provider agrees to provide remote gardening consultation services (“Services”) to the Client, delivered virtually through video conferencing, email, phone, or other mutually agreed-upon communication methods. Services may include horticultural guidance such as garden design, plant selection, soil and irrigation advice, pest and disease analysis, seasonal planning, and related support.
2. Service Package Selected: Steward Package (Design & Weekly Consultations)
The Client has selected the Steward Package, which includes:
2.1 Customized Garden Design
• Tailored garden design including planting successions for all three seasons.
2.2 Weekly Consultations
• 30 weekly 30-minute video consultations with the Service Provider’s expert horticulturist.
2.3 Follow-Up Communication
• One follow-up email after each video session summarizing advice and next steps.
2.4 Growing Guidance & Resources
• Support on soil prep, planting, fertilization, pest control, pruning, harvesting, plus a curated tools/supplies list.
2.5 Local Plant Access
• Access to certified organic greenhouse plants grown in Redding, CT (local pick-up or delivery only).
3. Fees & Payment
3.1 Total Package Fee:
$3,950 for the full season.
3.2 Payment Terms:
Payment is due upon booking unless otherwise agreed to in writing.
3.3 Connecticut Statute of Frauds:
This contract is in writing and signed by both Parties to satisfy Connecticut’s general contract enforceability requirements, even though remote services are not required to be in writing by statute.
4. Written Contract Requirements Under Connecticut Law
In accordance with general principles of Connecticut contract law:
4.1 Written & Signed Agreement — This Agreement is in writing and signed by both Parties, fulfilling the basic enforceability standard for service contracts in Connecticut.
4.2 Entire Agreement & Integration — This Agreement constitutes the entire understanding between the Parties. Any amendments must be in writing and signed by both Parties.
4.3 Consideration & Intent — The Parties acknowledge that each side receives value (consultation services for fee), demonstrating mutual consideration and intent to enter a legally binding arrangement.
5. Service Schedule & Delivery
5.1 Consultations shall be scheduled weekly on mutually agreed dates and times.
5.2 Missed consultations not rescheduled in accordance with the cancellation policy may be forfeited.
5.3 Client is responsible for providing photos/videos/site measurements necessary for remote guidance.
6. Cancellation & Rescheduling
6.1 Rescheduling must be made at least 1 week in advance.
6.2 Cancelled sessions with less than 1 month notice may be forfeited without refund.
6.3 The Service Provider may reschedule as necessary with reasonable notice.
7. Limitations of Services
7.1 Recommendations are based on information provided remotely.
7.2 No guaranteed outcome for plant health, yields, or specific gardening results is promised.
8. Liability & Indemnification
8.1 The Service Provider shall not be liable for loss or damage due to weather, pests, disease, client implementation errors, or conditions not visible remotely.
8.2 The Service Provider’s total liability is limited to the amount paid under this Agreement.
9. Confidentiality
Both Parties agree to keep confidential any private or proprietary information shared during the course of this Agreement.
10. Term & Termination
10.1 This Agreement remains in effect for the full garden season unless earlier terminated.
10.2 Termination requires written notice. Any sessions already delivered remain due in full.
11. Governing Law & Jurisdiction
This Agreement shall be governed by and construed under the laws of the State of Connecticut. The Parties consent to jurisdiction and venue in Connecticut courts for any disputes arising hereunder.
